1. Acceptance of Terms

By accessing or using the ReadyIQ platform at readyiq.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

ReadyIQ provides an AI consulting, tools, and learning platform that includes prompt engineering tools, an AI agent marketplace, a learning center, a prompt and agent vault, client portal services, and related browser extensions. Some features are available for free; others require a paid subscription or one-time purchase.

3. User Accounts

• You must provide accurate, complete, and current information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms
• You must be at least 18 years of age or the age of majority in your jurisdiction to use the Service

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to violate any applicable laws or regulations
• Upload, share, or transmit content that is harmful, abusive, defamatory, or infringes on intellectual property rights
• Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems
• Use automated means (bots, scrapers) to access the Service without our prior written consent
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Resell, sublicense, or redistribute the Service or its content without authorization
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Use the Service to generate content that is deliberately misleading, hateful, or designed to cause harm

5. Intellectual Property

The Service and its original content (excluding user-generated content), features, and functionality are owned by ReadyIQ and are protected by copyright, trademark, and other intellectual property laws.

Content you create using our tools (prompts, templates, agents) belongs to you. By uploading content to shared areas of the platform (marketplace, public vault), you grant ReadyIQ a non-exclusive, worldwide, royalty-free license to display, distribute, and promote that content within the Service.

6. Payment Terms

• Paid features are billed in advance on a monthly or annual basis through Stripe
• All fees are non-refundable except as required by law or explicitly stated in our refund policy
• We reserve the right to change pricing with 30 days notice to existing subscribers
• Failure to pay may result in suspension or termination of access to paid features
• You are responsible for any applicable taxes associated with your use of the Service
• Free tier features may have usage limits that are subject to change

7. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data after a reasonable retention period
• You may request an export of your data before termination takes effect
• Provisions that by their nature should survive termination will remain in effect

8. Limitation of Liability

To the maximum extent permitted by law, ReadyIQ and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free. Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you are entitled to bring claims in small claims court.
